Purchase Of Shelf Company

Unique Gardens Sdn Bhd (Co No 818314 H) was purchased on 28 May 2008 at a consideration of RM2.00. The authorised and paid share capital of the Company is RM100,000.00 and RM2.00 respectively.

The above Company is wholly owned by Nesline Sdn Bhd, a subsidiary of Reliance Pacific Berhad (RPB).

There is no material effect on RPB's group earnings per share and net tangible assets per share for the financial year ending 31 March 2009 in respect of the above transaction.

There are also no directors or substantial shareholders or persons connected to them interested in the above transactions. No government authorities approval is required.

Rationale :

Unique Gardens Sdn Bhd will be used as a future investment vehicle within the RPB group.
