With reference to the abovementioned, we wish to inform the Exchange on the following :

1.0 Change of Subsidiary name
Hotel Avillion Management (PD) Sdn Bhd has changed its name to Avillion Hotels International Sdn Bhd.

2.0 Restructuring of Subsidiary Companies
Ticketworld Sdn Bhd (formerly known as Hotel Avillion Management Sdn Bhd) and Reliance Tourworld Sdn Bhd (formerly known as Gatewayhotels Sdn Bhd) of the Hotel Management Division has been transfered to the Travel Division. All of the above companies are still the ultimate wholly-owned subsidiary of RPB. The above subsidiaries have a paid up of RM2.00 ordinary shares.

RPB Travel Holdings (BVI) Ltd with a paid up capital of RM2.00 ordinary shares has been struck off as we no longer require the use of the company.

3.0 Material Effects
There are no material effects on the RPB group earnings per share and net tangible assets per share for the financial year ending 31st March 2004 in respect of the above transactions.

There are no directors and substantial shareholders interest in the above transactions.

4.0 Rationale
The above transactions are due to the restructuring of the subsidiary companies within the RPB group.
