1. INTRODUCTION
We refer to our announcement dated 3 December 1999 on the approval of the Securities Commission ("SC") for the Proposals as follows:-

(i) Proposed bonus issue of up to 31,204,514 new ordinary shares of RM1.00 each on the basis of one (1) new ordinary share for every four (4) existing ordinary shares held in RPB on an entitlement date to be determined ("Proposed Bonus Issue"); and

(ii) Proposed rights issue of up to 62,409,028 new ordinary shares of RM1.00 each together with up to 31,204,514 free detachable Warrants at an issue price of RM1.00 per share on the basis of two (2) new ordinary shares with one (1) free detachable Warrant for every four (4) existing ordinary shares held in RPB on an entitlement date to be determined ("Proposed Rights Issue of Shares with Warrants")

Subsequent to the aforesaid announcement and after considering the settlement/ refinancing of the 3% Redeemable Unsecured Bank Guaranteed Bonds 1995/2000, the Company had made an application to the Securities Commission ("SC") to revise the utilisation of proceeds to be raised from the Proposed Rights Issue of Shares with Warrant and seek for an extension of time for the Proposals to be completed.

2. SC APPROVAL FOR THE REVISED UTILISATION OF PROCEEDS AND EXTENSION OF TIME

In this connection, Arab-Malaysian Merchant Bank Berhad ("Arab-Malaysian"), on behalf of the Company, is hereby pleased to announce that the SC had vide its letter dated 19 June 2000 approved the revisions to the utilisation of proceeds to be raised pursuant to the Proposed Rights Issue of Shares with Warrant as set out in Table 1. In addition, the SC had also approved the extension for a period of six (6) months to 25 November 2000 for the Proposals to be completed.

3. NOTICE OF EXTRAORDINARY GENERAL MEETING ("EGM")
Accordingly, a circular containing details of the Proposals together with a notice of EGM will be despatched to the shareholders of RPB in due course.
