With reference to the abovementioned, we would like to inform Bursa Malaysia on the following :

1.0 Change of name of subsidiary company

The subsidiary company named, Avillion Hotel Suites (PD) Sdn Bhd (co. no. 624724 T) has changed its name to Avillion Suite Hotel (PD) Sdn Bhd. with immediate effect.

2.0 Purchase of Shelf Companies

Avillion Resort (PD) Sdn Bhd (co. no. 671941 D) was purchase on 29 November 2004 at a consideration of RM2.00. The authorised and paid up capital of the above company is RM100,000.00 and RM2.00 respectively.

Avillion Hotel (Malacca) Sdn Bhd (co. no. 671940 V) was purchase on 29 November 2004 at a consideration of RM2.00. The authorised and paid up capital of the above company is RM100,000.00 and RM2.00 respectively.

The abovementioned companies are wholly owned subsidiaries of RPB Hotels International Sdn Bhd, a subsidiary of RPB.

There is no material effects on RPB's group earnings per share and net tangible assets per share for the financial year ending 31st March 2005 in respect of the above transactions.

There is also no directors or substantial shareholders interest in the above transactions.

Rationale

The above shelf companies will be used as future investment vehicles within the RPB group.
