RPB Hotels International Services Pty Limited ('RHIS') was incorporated in Australia on 13 March 2000 and is wholly-owned by RPB Holdings (Overseas) Limited, a wholly-owned subsidiary of Reliance Pacific Berhad (RPB).

RHIS has an issued and paid-up share capital of 1,000 ordinary shares of AUD1.00 each

The aforesaid transaction has no material effects on RPB's Group's earnings as per share and net tangible assets per share for the financial year ending 31 March 2001.

There are no directors or substantial shareholders interest in respect of the above transactions. Further, no approvals from government authorities are required.

Rationale

The aforesaid company will be used as a vehicle for providing hotel management services in Australia.
