With reference to the above, we would like to inform you on the following:-
1.0 Incorporation of Subsidiary Company
Gateway Hotels Sdn. Bhd. ('Gateway') was incorporated on 14 March 2000 and is the wholly owned subsidiary of RPB Hotels International Sdn. Bhd. on 21 March 2000. The latter company is also the wholly owned subsidiary of Reliance Pacific Berhad.
Gateway Hotels Sdn. Bhd. ('Gateway') was incorporated on 14 March 2000 and is the wholly owned subsidiary of RPB Hotels International Sdn. Bhd. on 21 March 2000. The latter company is also the wholly owned subsidiary of Reliance Pacific Berhad.
Gateway has an authorised share capital of RM100,000 and an issued share capital of 2 ordinary shares of RM1.00 each.
The aforesaid transaction has no material effect on RPB's earnings per share and net tangible assets per share for the financial year ending 31st March 2000.
There are no directors or substantial shareholders' interest in respect of the above transaction and no approvals from government authorities are required.
Rationale : The above company will be used as future investment vehicle for the Group's hotel management division.
2.0 Change of Name of a Subsidiary Company
Please be informed that GSA Shoppe Travel & Tours Sdn Bhd has changed its name to Vacazion Travel & Tours Sdn Bhd with effect from 13th March 2000.
The above change of name has been approved by the Ministry Of Culture , Arts And Tourism Malaysia on 28th February 2000.
The rationale for the change of name is to reflect and carry the tour product of "VACAZION" .
